Yokohama Rubber Completes Acquisition of Trelleborg Wheel Systems Holding AB
PRK Partners, in cooperation with lead counsel Freshfields Bruckhaus Deringer has advised The Yokohama Rubber Co., Ltd., on acquiring the entire wheel systems business of Swedish-listed Trelleborg AB, for an enterprise value of over EUR 2 billion.
Yokohama Rubber acquired 100 percent of the shares in Trelleborg Wheel Systems Holding AB (“TWS“) from Trelleborg AB. The acquisition was previously announced on 25 March 2022 and completed on 2 May 2023 after obtaining requisite approvals and satisfying other conditions precedent. TWS manufactures and sells off-highway tyres for agricultural and industrial machinery.
PRK Partners’ team advised on the Czech aspects of the transaction and carried out legal due diligence of the target’s business in the Czech Republic, provided FDI-related advice, assisted with pre-closing steps and advised on employment law matters. The team was led by the firm’s partner Radan Kubr with support from senior associate Kateřina Hájková. Partner Jaroslav Škubal was responsible for employment law advice.
