We are providing cross-border advice, including legal and tax consulting, on the transfer of the business of a number of branches of a large European financial institution. This includes supplying advice on banking regulatory issues and reviewing tax aspects related to the relocation of a loan portfolio.

We represented several Czech banks in connection with the restructuring of loans and other bank products that were provided to a leading supplier of equipment for the chemical and petrochemical industries.

We advised Raiffeisenlandesbank Niederösterreich-Wien AG on the financing of a real-estate portfolio comprising the companies CTP Teplice I, CTP Property II, CTP Brno III, CTP Brno IV and CTP Invest IX. 

We provided the Prague Stock Exchange with legal advice on setting up the new START market designed to attract startups and small to medium-sized issuers. Building on this experience, we successfully represented a number of issuers in IPOs utilising the START market, including FILLAMENTUM a.s., Prabos plus a.s. and UDI CEE a.s.

We provided a legal analysis of the impact of MiFID II on the business activities of a client and its affiliated clearing and settlement platform in the Czech Republic. This included carrying out an analysis of different commercial setups for various Brexit scenarios.
