Notable Experience
- Gave Czech law assistance to GE on a EUR 88.5 million loan to finance the acquisition of Aerocan France by Barclays Private Equity France.
- Assisted Komerční Banka and ABN AMRO (now the Royal Bank of Scotland) as mandated leading arrangers of the multicurrency, multipurpose syndicated credit line in the amount of CZK 2.4 billion to an international industrial holding company.
- Acted as counsel for the Czech subsidiaries of a major Austrian bank in connection with a EUR 75 million syndicated loan financing and operational leasing deal with an operator of premium (five and four stars) hotels in the Czech Republic.
- Acted as Czech Counsel to the power plant design and construction company AE&E and Linklaters in connection with a guarantee facility agreement
- Advised a consortium of international banks on the Euro market financing of Transgas
- Advised New World Resources N.V. ("NWR"), a leading producer of hard coal in Central Europe on its successful initial public offering in the UK, Czech Republic and Poland – The total value of the offering (excluding shares subject to the Over-Allotment Option) based on the offer price amounted to approximately EUR 1.4 Billion. This transaction was the largest European IPO in 2008, the largest IPO ever in the Czech Republic and the second largest mining IPO in London. It was also the first triple listing on the London, Prague and Warsaw stock exchanges
- Represented Komerční Banka a.s. in arranging its CZK 150 billion debt issuance programme.
- Advised New World Resources N.V. ("NWR"), a leading producer of hard coal in Central Europe on its successful initial public offering in the UK, Czech Republic and Poland – The total value of the offering (excluding shares subject to the Over-Allotment Option) based on the offer price amounted to approximately EUR 1.4 Billion. - Represented CALYON as arranger and lead manager in the CZK 10 Billion debt issuance programme of Česká pojišťovna a.s.
- Advised Sullivan & Cromwell and a major French financial institution on the Czech legal aspects of acquiring a mutual fund business.
- Legal advisory to AXA PPP in relation to the placement of selected products on markets in Central Europe, including the arrangement of registrations and establishing relations with insurance intermediaries.
- Advised Česká pojišťovna, a.s. on the placement of technical reserves and structuring selected investments.
- Complex regulatory advice to Chartis (formerly AIG) regarding the requirement for a wide range of insurance products in the Czech Republic and Slovakia, including consumer protection issues and anti-money laundering
- Comprehensive legal advice to the Wüstenrot group in transferring selected insurance products from a Slovak to a Czech subsidiary.
